1. Introduction

Welcome to Authoryx (“the Application”, “we”, “our”, or “us”), a product of Autum Labs LLP. These Terms & Conditions (“Terms”) govern your access to and use of our mobile application, website, and related services (collectively, “the Service”).

By accessing or using Authoryx, you agree to be bound by these Terms. If you do not agree, you must not use the Service.

2. Definitions

  • Account: The registered user profile enabling you to use Authoryx features.
  • Application / Service: Authoryx, including its web, mobile, and backend components.
  • Circle: A private group within Authoryx where users share messages and secrets like OTPs.
  • OTPs: One-Time Passwords or short-lived codes shared securely between devices or users.
  • Content: Any information, data, text, or code shared or processed through Authoryx.
  • Service Providers: Third parties that process data or provide infrastructure (e.g., Firebase, Azure).

3. Acceptance of Terms

By creating an account or using the Service, you affirm that you are at least 13 years of age (or the minimum age required by law in your jurisdiction) and have the legal capacity to enter into this agreement. Continued use of Authoryx signifies your ongoing acceptance of these Terms and any future updates.

4. Account Registration and Responsibilities

  • You must provide accurate and complete information when creating an account.
  • You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
  • If you believe your account has been compromised, you must notify us immediately at [email protected].
  • We reserve the right to suspend or terminate accounts engaged in fraudulent, abusive, or illegal activities.

5. Permitted Use and Restrictions

You agree to use Authoryx solely for lawful, personal, or organizational purposes as intended. You must not:

  • Use Authoryx to transmit spam, malicious code, or unauthorized access credentials.
  • Share or forward secrets like OTPs to individuals or systems not intended by the original issuer.
  • Decompile, reverse-engineer, or modify any part of the Application or Service.
  • Attempt to gain unauthorized access to servers, data, or other users’ content.
  • Use automated tools or bots to extract or misuse data from Authoryx.
  • Use Authoryx in any way that violates applicable law or third-party rights.

6. Intellectual Property Rights

  • All intellectual property rights in Authoryx, including software, design, branding, and logos, are owned or licensed by Autum Labs LLP.
  • Users retain rights to the content they input or transmit through Authoryx but grant Autum Labs LLP a limited, non-exclusive, royalty-free license to store, transmit, and display such content solely for the operation of the Service.
  • You may not reproduce, distribute, or create derivative works from any part of Authoryx without written consent.

7. Privacy and Data Protection

Your use of Authoryx is also governed by our Privacy Policy, which explains how we collect, use, and safeguard your information. By agreeing to these Terms, you also agree to our Privacy Policy.

8. Third-Party Services and Links

  • Authoryx relies on trusted third-party providers such as Firebase (Google LLC) and Azure (Microsoft Corporation) for hosting, analytics, authentication, and messaging services.
  • Use of these services is governed by their respective privacy policies, which are linked within our Privacy Policy.
  • We are not responsible for content, practices, or availability of external websites linked through Authoryx.

9. License to Use Authoryx

We grant you a limited, revocable, non-transferable, non-exclusive license to install and use Authoryx for personal or authorized business use in accordance with these Terms. You may not sublicense or commercially exploit the Service without written consent.

10. Updates and Modifications

  • We may modify, update, or discontinue features of Authoryx at any time for maintenance, security, or improvement.
  • We may update these Terms periodically. Material changes will be notified in-app or via email.
  • Your continued use after such updates constitutes acceptance of the new Terms.

11. Suspension and Termination

  • We reserve the right to suspend or terminate your access to the Service if you violate these Terms or engage in unlawful conduct.
  • Upon termination, your right to use Authoryx will immediately cease. Certain data may be retained as required by law or for legitimate business reasons as outlined in our Privacy Policy.
  • You may terminate your account at any time by deleting it through the app or contacting us.

12. Disclaimers and Limitation of Liability

  • Authoryx is provided “as is” and “as available.” We make no warranties regarding uptime, reliability, or accuracy of transmitted messages or secrets.
  • To the maximum extent permitted by law, Autum Labs LLP is not liable for any indirect, incidental, or consequential damages arising from your use of the Service, including lost profits, data loss, or unauthorized access.
  • We do not guarantee that secrets like OTPs or messages will always be delivered or received securely or instantly.
  • Your use of third-party services (Firebase, Azure, email providers) is subject to their own terms and limitations.

13. Indemnification

You agree to defend, indemnify, and hold harmless Autum Labs LLP, its partners, employees, and affiliates from any claims, damages, or liabilities arising out of your misuse of Authoryx, violation of these Terms, or infringement of third-party rights.

14. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of India. Any disputes arising from or relating to these Terms shall be subject to the exclusive jurisdiction of the courts in Bhopal, Madhya Pradesh, India.

15. Compliance and Export Restrictions

You agree to comply with all applicable laws, including export control laws, regarding your use of Authoryx. You shall not use the Service in violation of any sanctions or restricted country regulations.

16. Miscellaneous

  • If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in effect.
  • Failure by Autum Labs LLP to enforce any right or provision will not constitute a waiver.
  • These Terms constitute the entire agreement between you and Autum Labs LLP regarding the use of Authoryx.
